Terms of Service

1. Agreement to terms

These Terms of Service (the “Terms”) form a binding agreement between you and Forge Analytics Group LLC (“Datawait”, “we”, “us”). If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization. If you do not agree, do not use the Service.

2. The Service

Datawait provides competitive intelligence and market-monitoring tools that track sources you select — such as competitor websites, industry news, regulatory updates, press releases, market trends, and public sentiment — and deliver signals, alerts, and reports.

3. Accounts

• You must provide accurate information and keep it up to date.
• You are responsible for safeguarding your credentials and for all activity under your account.
• Notify us promptly of any unauthorized use at support@datawait.com.

4. Subscriptions and billing

• Per-service model. Services are offered à la carte. You pay only for the services you activate.
• Payment. Payments are processed securely through Authorize.Net. By subscribing, you authorize us to charge your payment method the applicable recurring fee.
• Renewals. Subscriptions renew automatically each billing period until cancelled.
• Cancellation. You may cancel any service at any time from your billing dashboard; access continues until the end of the current period. See our Billing & Refund Policy.
• Taxes. Fees are exclusive of taxes, which you are responsible for where applicable.

5. Acceptable use

You agree not to:

• Use the Service to violate any law or third-party right.
• Monitor targets you are not legally permitted to monitor, or use the Service to harass, stalk, or harm any person.
• Attempt to disrupt, reverse engineer, overload, or gain unauthorized access to the Service.
• Resell or provide the Service to third parties except as expressly permitted.

6. Third-party content and monitoring

The Service retrieves and displays publicly available content from third-party sources at your direction. We do not own or control that content, do not guarantee its accuracy, availability, or completeness, and are not responsible for it. You are responsible for ensuring your monitoring activities comply with applicable laws and the terms of the sources you monitor.

7. Intellectual property

The Service, including its software, design, and trademarks, is owned by Forge Analytics Group LLC and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes. You retain rights to the data and configurations you submit.

8. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Datawait provides intelligence signals to inform your decisions; it is not a substitute for professional, legal, or financial advice.

9. Limitation of liability

To the maximum extent permitted by law, Forge Analytics Group LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Forge Analytics Group LLC from any claims, damages, and expenses arising out of your use of the Service or your violation of these Terms.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or to comply with law. Upon termination, your right to use the Service ends; provisions that by their nature should survive will survive.

12. Governing law

These Terms are governed by the laws of the Commonwealth of Puerto Rico, United States, without regard to conflict-of-laws principles. The courts located in that jurisdiction will have exclusive jurisdiction over any dispute, subject to any mandatory consumer protections that apply to you.

13. Changes to these Terms

We may modify these Terms from time to time. We will post the updated version with a new “Last updated” date and, where material, provide notice. Your continued use after changes take effect constitutes acceptance.
